1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of the Halpay website and remittance services (collectively, the "Services") provided by Halvest Technology Inc. ("Halpay", "we", "us", "our").
By accessing our website, joining our waitlist, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
2. Who can use our services
Our Services are intended for individuals sending money to Canada in Canadian dollars (CAD) from the countries we support. Nigeria is our primary market and the first corridor we will launch, and we expect to add further sending countries over time. To use the remittance Services once launched, you must be at least 18 years old and legally able to enter into binding contracts.
You must provide accurate, complete, and current information when registering or sending a transfer, and you must only send money that belongs to you and that you obtained lawfully.
3. Nature of the services
Halpay is currently in development and has not yet launched its remittance Services. Joining our waitlist does not create a customer relationship or any obligation on either party; it simply lets us notify you when we launch.
When the Services launch, we will enable money transfers from supported sending countries — starting with Nigeria — with delivery in Canadian dollars (CAD). Specific features, supported currencies, rates, fees, delivery times, payment methods, and receiving options will be described on our website at that time.
We may modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable.
4. Exchange rates, fees, and transfers
When the Services launch, the exchange rate and any applicable fees will be clearly shown to you before you confirm a transfer. The amount your recipient receives in CAD will depend on the rate and fees displayed at the time you confirm.
Exchange rates may fluctuate, and the rate we quote is typically valid only for a short period. Once you confirm a transfer at a quoted rate, that rate applies to your transfer.
You are responsible for providing correct recipient details. We are not responsible for delays or failures caused by incorrect or incomplete information you supply.
5. Compliance, verification, and prohibited use
We are required to comply with anti-money laundering, counter-terrorist financing, sanctions, and other financial regulations in Canada, Nigeria, and other jurisdictions where we operate. This means we may request identity verification documents, information about the source of funds, and details about the purpose of a transfer, and we may delay, hold, refuse, or reverse a transfer pending verification or where required by law.
You may not use the Services for any unlawful purpose, including fraud, money laundering, terrorist financing, gambling, purchasing prohibited goods or services, or on behalf of any person or entity subject to sanctions.
We may refuse service, cancel transfers, suspend or close accounts, and report activity to authorities where we reasonably believe these Terms or applicable law have been violated.
6. Account security
Once account creation is available, you are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
We are not liable for losses arising from your failure to safeguard your credentials, except where such a limitation is not permitted by law.
7. Intellectual property
The Halpay name, logo, website design, text, graphics, and all related content are owned by Halvest Technology Inc. or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or use any of this content without our prior written permission.
You are granted a limited, non-exclusive, revocable license to access and use the Services for their intended personal purposes.
8. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, except as otherwise required by law. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by law, Halpay and its affiliates, officers, employees, and partners will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the total fees you paid to us for the transfer giving rise to the claim, except where a greater amount is required by applicable law.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, fraud, or willful misconduct.
9. Indemnification
You agree to indemnify and hold harmless Halvest Technology Inc. and its affiliates, officers, employees, and partners from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Services, or your breach of any applicable law or regulation.
10. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or for operational or security reasons.
Upon termination, the provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, indemnification, and governing law) will remain in effect.
11. Changes to these terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
12. Governing law and disputes
These Terms are governed by the laws applicable in the Province of Ontario, Canada, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved in the courts of competent jurisdiction in Ontario, Canada, unless applicable law provides otherwise or the parties agree to an alternative dispute resolution method.
